Risk Management
Policy

TA YA has established its Risk Management Policy to strengthen corporate governance, enhance risk management practices, and support business resilience and sustainable development. The Company is committed to maintaining an effective risk management framework with appropriate checks and balances, identifying, assessing, monitoring, and controlling risks within acceptable levels while balancing risk and return. Through stakeholder engagement and employee risk awareness, TA YA continuously enhances the effectiveness of its risk management practices and fosters a strong risk management culture.

Risk Management Process

TA YA has established a systematic risk management process encompassing five key elements: risk identification, risk analysis, risk evaluation, risk response, and monitoring and review. The Company identifies potential risks based on its business operations, internal and external factors, and stakeholder concerns. Risks are assessed based on their likelihood and impact, with risk levels and response priorities determined in accordance with the Company's risk appetite. Ongoing monitoring, periodic reviews, and risk reporting help ensure the effective implementation of risk management measures.

Risk Management
Framework

TA YA has established a risk management framework comprising the Board of Directors, Audit and Risk Committee, Risk Management Team, business groups, and operating units. The Board serves as the highest decision-making body, approving risk management policies and strategies and overseeing their effectiveness. The Audit and Risk Committee reviews the risk management framework, approves risk appetite, and oversees implementation. The Risk Management Team coordinates risk management activities across departments, while business groups and operating units are responsible for identifying, assessing, and responding to risks within their operations, integrating risk management into day-to-day business activities.

Risk Appetite

TA YA has established a Risk Appetite Statement outlining the Company's acceptable level of risk and guiding principles for risk management. Risk limits are periodically submitted to the Audit and Risk Committee for approval. In determining its risk appetite, the Company considers internal and external factors, stakeholder expectations, regulatory requirements, and its operational, strategic, investment, financial, and sustainability objectives. TA YA is committed to avoiding investments or business activities that exceed its risk appetite or conflict with its ESG principles and commitments.
