Sustainability Governance Framework

TAYA has established a clear governance structure to ensure that sustainable development is effectively promoted and implemented at all levels of the Group. In accordance with the TAYA Sustainability Development Best Practice Principles, the Company has formed a Sustainability Development Committee, responsible for proposing and executing sustainability policies, systems, management guidelines, and specific action plans. The Committee reports regularly to the Board of Directors and assists the Board in advancing sustainable development and sustainable management.

The Committee has designated the Business Planning Office under the General Management Office as the executive unit. Its responsibilities include sustainability information disclosure (such as compiling the Sustainability Report and responding to ESG rating questionnaires), managing material topics, and planning and implementing sustainability action programs. Execution progress is reported to the Sustainability Development Committee twice a year.

Sustainability Development Committee

TAYA established a Corporate Social Responsibility Committee in 2018, which was renamed the Sustainability Development Committee in 2022 upon Board approval.
The current Committee consists of four members:
Three Independent Directors
The General Manager of the Parent Company’s General Management Office
Independent Director Kuang-Hsun Yu serves as the Convener and Chairperson. Beginning in 2023, the Chairman delegated and authorized the Convener to oversee committee operations, taking into consideration his prior experience in supervising corporate sustainability initiatives.
 

Responsibilities of the Sustainability Development Committee

  • Review and approve sustainability policies and commitments, sustainability strategies and targets, and annual plans
  • Review and approve the Sustainability Report and material topics
  • Oversee responses to material topics and impact management
  • Supervise sustainability strategies, actions, and progress toward sustainability development goals
  • Review and oversee climate change–related and biodiversity-related issues
  • Report annual sustainability implementation results to the Board of Directors
